Welcome to Liotha ("Company", "we", "us", or "our").These Terms & Conditions ("Terms") govern your use of our website, portfolio and the purchase or engagement of our services, including: Web Development, Website Maintenance, WooCommerce/E-commerce solutions, Business Analysis, Data Analysis, and Project Management, Ongoing website maintenance & support. By accessing our website or engaging our services, you agree to be bound by these Terms.
We provide freelance and professional consultancy services including, but not limited to:
Web Design & Development: Creation of information websites, portfolio sites, and WooCommerce/E-commerce platforms.
Website Maintenance: Security updates, backups, bug fixes, and content updates.
Business & Data Analysis: Requirements gathering, process mapping, data modeling, reporting, and insights.
Project Management: Lifecycle management, agile/waterfall coordination, and delivery oversight.
Scope, deliverables, and timelines are defined in proposals or statements of work (SOWs). Agreement is formed via signed proposal, returned requirements, or paid deposit. All work follows the agreed scope; Extra work and/or material changes is charged separately which may adjust fees and schedules. Services are custom‑deliverable, not a guarantee of specific revenue, traffic, or outcome.
Universal Currency: All fees, quotes, and rates will be explicitly stated in the formal Project Proposal or Invoice. We accommodate global clients; unless otherwise specified in writing, payments must be settled in the currency stipulated on the invoice (e.g., USD, GBP, EUR, AUD, local currency, etc.).
Payment Terms: Payment milestones (e.g., deposits, progress payments, and final retainers) will be outlined in your individual statement of work(SOW).
Late Payments: We reserve the right to suspend work, withhold deliverables, or revoke website access if payments are overdue.
Third‑party costs (domains, hosting, plugins, subscriptions, software licenses) are Client’s responsibility unless explicitly included.
You agree to provide complete, accurate content, data, and materials on time for completion of the project. Confirm all text, images, logos,branding and data are original, licensed, credentials and legally compliant.
Respond promptly to drafts/reviews - delays caused by lack of client communication or assets, extend timelines accordingly which we are not responsible for.
Provide access/credentials only as required for the work and guarantee that all materials provided to us do not infringe on any third-party intellectual property rights.
Our Tools: We retain all rights to our pre-existing frameworks, code snippets, analysis methodologies, and templates used during the project.
Your Deliverables: Upon full and final payment, the ownership of the custom website code, visual designs, finalized business analysis documentation, and data dashboards transfers to the Client.
Portfolio Use: Unless expressly forbidden via a signed Non-Disclosure Agreement (NDA), you grant us a non-exclusive right to display the completed project, screenshots, and case studies on our portfolio website for promotional purposes.
Website development projects include a [e.g., 30-day] warranty period for bug fixes post-launch.
Ongoing maintenance, updates, backups, uptime monitoring, small fixes and plugin management require a separate signed Maintenance Agreement. We are not liable for site crashes, security breaches, Client‑made changes, self‑installed plugins, force majeure, third‑party provider failures or plugin failures on websites.
Either party may cancel/terminate with 14–30 days’ notice; no refund for prepaid periods.
To the maximum extent permitted by applicable law, Liotha shall not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of profits, data loss, downtime, or e-commerce revenue losses arising out of the use of our services or website.
